1. These terms

These terms of service form an agreement between you and RIGHTBUILDIO LTD ("RightBuild", "we", "us"), a company registered in Scotland under company number SC904869, with its registered office at 7 Alder Street, Stewarton, KA3 3EU. They cover your use of the RightBuild app, its Asks portals, its MCP connection and our website (together, the "service").

If you use the service on behalf of a company or other organization, you confirm that you have authority to accept these terms for it, and "you" means that organization. If you have signed a separate order form or agreement with us, such as an Enterprise contract, that document takes priority over these terms where they differ.

By creating an account or using the service, you agree to these terms and to our privacy policy.

2. Accounts and Workspaces

  • You must be at least 16 and give us accurate information when you sign up.
  • You are responsible for keeping your sign-in details secure and for everything that happens under your account. Tell us straight away if you think someone else has access to it.
  • The Owner of a Workspace manages it, decides who can join it and controls its settings. Paid plans are priced per Owner.
  • You are responsible for the people you invite to your Workspace and for their use of the service.

3. The service

Features marked as beta or preview are provided as they are, without the commitments in these terms about availability or support.

We may improve and change the service over time. If we remove a feature that is central to a paid plan, we will tell you in advance.

4. Plans, fees and billing

  • Starter plan. The Starter plan costs nothing and has the limits described on our pricing, such as the number of AI reviews each month. We may change the Starter plan's limits.
  • Paid plans. Basic is billed per Owner, either annually in advance or month to month. Enterprise is billed as agreed in your order form.
  • Renewal. Paid subscriptions renew automatically for the same period unless you cancel before the renewal date. You can cancel at any time in your account settings, and the cancellation takes effect at the end of the current billing period.
  • Price changes. We will give you at least 30 days' notice of a price change. It will apply from your next renewal.
  • Taxes. Prices do not include VAT or other sales taxes, which are added where they apply.
  • Refunds. Fees are non-refundable except where these terms or the law say otherwise.
  • Fair use. Features described as unlimited are subject to fair use. If your use is far beyond what is normal for your plan, we will contact you to agree a solution before we take any action.
  • Late payment. If a payment fails and is not resolved within 14 days of our notice, we may move your Workspaces to the Starter plan or suspend paid features.

5. Your data

You keep all rights in the content you and your users add to the service, including Asks, comments, attachments, roadmaps and AI memory ("your data"). You give us permission to host, copy, process and display your data only as needed to provide, secure and support the service for you.

We handle personal information in your data as your processor, under our data processing agreement, which forms part of these terms. Your data is stored on Oracle Cloud Infrastructure in Frankfurt, Germany, unless you are an Enterprise customer who has chosen another region.

You are responsible for your data and for having the rights and permissions needed to add it to the service. You can export your data while your account is active.

6. AI features

  • AI features generate suggestions, narratives, priorities and research reports from your data. AI output can be wrong, incomplete or out of date, so you should review it before relying on it or sharing it.
  • AI suggestions do not change your data until a person accepts them. You are responsible for the changes you accept and the content you share.
  • Market research reports are based on public web sources and are not professional advice.
  • We do not use your data to train AI models, and our AI model providers are not permitted to use it to train theirs.
  • As between you and us, you own the output generated from your data.

7. Acceptable use

You must not, and must not let anyone else:

  • break the law or infringe anyone else's rights through the service
  • upload malware or content that is unlawful, harassing or abusive
  • try to get into accounts, Workspaces or systems you are not authorized to access, or probe, scan or test the service's security without our written permission
  • overload or disrupt the service, including through automated access beyond normal use of our API and MCP connection
  • copy, reverse engineer or resell the service, or use it to build a competing product
  • use the service to send spam, including through clarification emails or portal invitations

8. Portals and end users

If you run an Asks portal, you are responsible for the people you allow to use it and for telling them how their information will be used, including through your own privacy notice where needed. Content your end users submit is part of your data. You can moderate or remove it at any time.

9. Integrations and third-party services

The service works with third-party services, such as Google and GitHub for sign-in and AI assistants such as Claude and Cursor through MCP. When you connect one, you allow data to pass between it and RightBuild as needed for the connection to work. Third-party services are governed by their own terms, and we are not responsible for them.

10. Our intellectual property

We own the service, including its software, design, documentation and the RightBuild name and logo. These terms give you a right to use the service while your account is active. They do not transfer any ownership to you. If you send us feedback or ideas, we may use them without any obligation to you.

11. Confidentiality

Each of us will keep the other's non-public business information confidential, use it only for the purposes of these terms and protect it with at least reasonable care. This does not apply to information that is or becomes public through no fault of the receiving party, that the receiving party already had or developed independently, or that must be disclosed by law.

12. Suspension and termination

  • You can stop using the service and close your account at any time.
  • We may suspend or close your account if you seriously or repeatedly break these terms, if you do not pay fees that are due, or if we must do so to comply with the law or protect the service or other users. Where we reasonably can, we will warn you first and give you a chance to fix the problem.
  • When an account is closed, we delete your data straight away. Backups are deleted within 30 days. Export anything you want to keep before you close your account.
  • Sections 5, 10, 11 and 13 to 18 continue to apply after these terms end.

13. Warranties and disclaimers

We will provide the service with reasonable skill and care. Apart from that, and to the extent the law allows, the service is provided "as is" and "as available", and we do not give any other warranty, whether express or implied, including that the service will be uninterrupted, error free or fit for a particular purpose.

14. Limitation of liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Subject to that, neither of us is liable for any loss of profits, revenue, business or goodwill, or for any indirect or consequential loss. Each party's total liability arising out of or relating to these terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim. If you use only the Starter plan, our total liability is limited to £100.

15. Indemnity

You will defend us against, and pay the costs of, any third-party claim arising from your data or from your use of the service in breach of these terms.

16. Changes to these terms

We may update these terms from time to time. We will post the new version on this page and change the effective date at the top. If a change is significant, we will tell account holders at least 30 days before it takes effect. If you do not agree to the change, you can close your account before then. If you keep using the service after the change takes effect, you accept the new terms.

17. Governing law

These terms are governed by the law of Scotland, and the Scottish courts have exclusive jurisdiction over any dispute arising from them. If you are a consumer, you also keep any protections the law of the country where you live gives you.

18. General

  • You may not transfer these terms to anyone else without our consent. We may transfer them to a company that takes over our business.
  • Neither of us is responsible for delays or failures caused by events beyond our reasonable control.
  • If any part of these terms is found to be unenforceable, the rest stays in effect.
  • If we do not enforce a right straight away, we can still enforce it later.
  • These terms, together with the documents they refer to, are the whole agreement between us about the service.
